1. Acceptance of Terms

Welcome to IT-One.io. These Terms of Service ("Terms") govern your access to and use of the website it-one.io, the Network Monitor Pro software, and any related services (collectively, the "Services") provided by IT-One.io ("Company," "we," "our," or "us").

We are a company registered and operating under the laws of the State of Israel. These Terms constitute a legally binding agreement between you and the Company.

2. Definitions

• "User," "you," or "your" refers to any individual or entity accessing or using our Services.
• "Software" refers to Network Monitor Pro and any associated applications, updates, and documentation.
• "License" refers to the right granted to you to use the Software under these Terms.
• "License Key" refers to the unique code provided to activate and validate your Software license.
• "Subscription Period" refers to the duration for which your License is valid.

3. License Grant

3.1 Grant of License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on devices you own or control
• Use the Software for your internal business purposes
• Access and use the features included in your purchased license tier

3.2 License Restrictions

You may NOT:

• Copy, modify, or distribute the Software except as expressly permitted
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels
• Sublicense, rent, lease, or lend the Software to third parties
• Use the Software to develop competing products
• Share, transfer, or resell your License Key
• Use the Software for any unlawful purpose
• Circumvent or attempt to circumvent license verification mechanisms

3.3 License Activation

Each License Key may only be activated on one (1) installation. Once activated, the License is bound to that specific installation. If you need to transfer your license to a different machine, please contact our support team.

3.4 Device Limits

Your license type determines the maximum number of devices you may monitor:

• Basic License: Up to 25 devices
• Professional License: Up to 100 devices
• Enterprise License: Unlimited devices

4. Free Trial

We offer a 30-day free trial of the Software with full functionality. The trial period begins upon first installation. At the end of the trial period, you must purchase a license to continue using the Software. Trial usage is subject to these Terms.

5. Payments and Pricing

5.1 Fees

License fees are as displayed on our website at the time of purchase. All prices are in US Dollars (USD) unless otherwise stated. Prices are subject to change with reasonable notice.

5.2 Payment Processing

Payments are processed through secure third-party payment providers. By making a purchase, you authorize us to charge your designated payment method. We do not store complete credit card information on our servers.

5.3 Taxes

Prices do not include applicable taxes. You are responsible for paying any taxes associated with your purchase, including Israeli VAT (Value Added Tax) where applicable.

5.4 Refund Policy

Due to the digital nature of our products:

• Refunds may be requested within 14 days of purchase if the Software is materially defective and we cannot resolve the issue
• Refunds are not available after License Key activation if the Software functions as described
• We encourage you to use the free trial before purchasing

6. Subscription and Renewal

6.1 Subscription Period

Licenses are valid for the period specified at purchase (typically one year from the date of activation).

6.2 Renewal

Licenses do not auto-renew. You will receive email notifications before your license expires. To continue using the Software, you must purchase a renewal license.

6.3 Expiration

Upon license expiration:

• The Software will continue to function in a limited capacity
• You will not receive software updates or new features
• Technical support will not be available

7. Updates and Support

7.1 Software Updates

During your active Subscription Period, you are entitled to:

• Bug fixes and security patches
• Feature updates and improvements
• New version releases

7.2 Technical Support

Support is provided via email during your active Subscription Period. We aim to respond to support requests within 2 business days. Support is provided in English.

8. Intellectual Property

The Software, including all code, designs, documentation, and related materials, is the exclusive property of IT-One.io and is protected by Israeli and international copyright, trademark, and intellectual property laws.

You acknowledge that:

• No ownership rights are transferred to you
• The Company retains all rights not expressly granted
• You will not claim any ownership interest in the Software

9. User Responsibilities

You agree to:

• Provide accurate information when creating an account or making purchases
• Maintain the confidentiality of your account credentials and License Key
• Use the Software in compliance with all applicable laws
• Not use the Software to monitor networks without proper authorization
• Notify us immediately of any unauthorized use of your account

10. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and usage practices.

11. Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Software will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of results obtained

You acknowledge that network monitoring involves inherent risks and that the Software should not be relied upon as the sole means of monitoring critical systems.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• The Company's total liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim
• The Company is not liable for any loss of data, business interruption, or lost profits

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless IT-One.io and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws

14. Termination

14.1 Termination by You

You may stop using the Services at any time. Termination does not entitle you to a refund of any fees paid.

14.2 Termination by Us

We may suspend or terminate your access to the Services if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Required by law
• We discontinue the Services (with reasonable notice)

14.3 Effect of Termination

Upon termination, your license rights cease immediately. Sections regarding intellectual property, disclaimers, limitation of liability, and governing law survive termination.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting updated Terms on our website
• Sending email notification to registered users
• Displaying a notice within the Software

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv-Jaffa, Israel.

17. Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute through good-faith negotiations for at least 30 days.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Services.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

18.5 Language

These Terms are provided in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
